TERMS AND CONDITIONS OF SALE
1 - All quotations and tenders are submitted and all orders are accepted subject to the following conditions unless otherwise expressly agreed by us in writing.
2 - No order or acceptance of our quotation shall be binding upon us.
3 - Deliveries may be wholly or partially suspended in the event of stoppage, beyond the control of either party.
4 - All goods supplied by us against customer orders but for which we have received no delivery instructions will be invoiced after being held in stock for 30 days.
5 - Any time or date of delivery named by us is an estimate only and we shall not be liable for the consequences of any delay.
6 - Goods sold as new represented by the customer to be defective shall not form the subject of any claim for work done by the customer or for any loss damage or expense whatsoever arising directly or indirectly from such defects, but such goods, if returned to us and accepted by us as defective will, at the request of the customer and if practicable, be replaced as originally ordered, provided that no liability shall arise in respect of any defect which occurs more than 12 months after despatch from our premises or where the customer fails to notify us of any such alleged defect within 30 days of its discovery. Defects in quality shall not be a ground for cancellation of the remainder of the order or contract.
7 - The customer shall deliver such defective goods to our premises free of charge and we will deliver the repaired or replaced goods at our expense if the goods have been received by us within 30 days of the date of invoice. After this period, the cost of delivery will be charged to the customer at the standard minimum charge, or greater if needed to cover all courier costs. The goods will be returned to the original place of delivery. An alternative address may be possible, but extra charges may apply dependent upon location. The current Refund Policy will apply in addition to these terms of sale.
8 - In the case of goods replaced, the original defective goods shall become our property free of charge.
9 - No claims for damage in transit, shortage of delivery or loss of goods will be entertained, unless in the case of damage in transit or shortage of delivery, a separate notice in writing is given to the carrier (if any) concerned and to us within three days of the receipt of goods followed by a complete claim in writing within five days of receipt of goods and in the case of loss of goods notice in writing is given to the carrier concerned and to us and a complete claim in writing made within 10 days of the date of consignment. Where goods are accepted from the carrier concerned without being checked the Delivery Book of the carrier concerned must be signed 'not examined'.
10 - We will not accept any claim or liability for contingent or consequential loss or expense whatsoever.
11 - No condition is made or to be implied nor is any warranty given or to be implied as to the suitability of the goods supplied for any particular purpose or for use under any specific conditions, notwithstanding that such purpose or conditions may be known or made known to us.
12 - If articles supplied by us are required to be tested or inspected, the testing and inspecting shall be carried out at our premises and shall be final, unless otherwise agreed.
13 - All contracts subject to these conditions shall be construed and take effect in accordance with English Law and any claim against us in connection with or under any such contract shall be brought in the English Courts only.
